Terms and Conditions of Participation for Webinars

1. General

The webinars offered by Schwarz IT KG, Stiftsbergstraße 1, 74172 Neckarsulm, Germany (“SIT“) are available solely for business customers (entrepreneurs within the meaning of section 14 of the German Civil Code (Bürgerliches Gesetzbuch – BGB) or company representatives).

2. Registering for the webinar, formation of contract

2.1 By sending your registration for the webinar, you (“Participant“) submit an offer to SIT to participate in the webinar subject to these Terms and Conditions of Participation. 2.2 By sending the confirmation of participation to the Participant, SIT accepts the offer. 2.3 Participants have no claim against SIT to have their offer accepted or to participate in the webinar or to have it be conducted. 2.4 To the extent not otherwise agreed, registration to participate in the webinar is free of charge for Participants.

3. Conducting the webinar; login details

3.1 The webinar will be conducted on the date specified by SIT in the given case within the stated time period. The stated duration of the webinar is a rough estimate and may be shorter or longer if necessary. 3.2 Participation in the webinar is only possible using SIT’s specified participation tool. The login details will be sent to the Participant by e-mail before the webinar starts. The respective participation tool may be subject to additional terms of use of the manufacturer, which the Participant must comply with. 3.3 Once received, the login details may not be used by anyone other than the Participant. The login details must be treated confidentially and protected from access by third parties.

4. Cancellations and postponements

4.1 SIT reserves the right to cancel or postpone the webinar at its sole discretion or to change the speaker. The foregoing shall apply particularly in those cases where the minimum enrollment required for the webinar was not reached or the speaker is unable to participate due to illness or for other reasons. 4.2 If the webinar is postponed or canceled, SIT will notify the Participant in good time and offer them an alternative date where applicable. 4.3 The Participant is under no obligation to participate in the respective webinar. If the Participant is unable to attend, SIT requests that the Participant send a cancellation notice.

5. Rules of conduct

5.1 The Participant shall refrain from any conduct that would disrupt the webinar or other participants. 5.2 If the Participant continues to engage in disruptive behavior even after having been requested to cease and desist by SIT/the respective speaker, the Participant may be ejected from the webinar.

6. Intellectual property

6.1 Content presented by SIT in the context of the webinar (e.g., performances, presentations, displays, texts, as well as documents provided to the Participant) (“Content“) is protected by copyright. 6.2 Any dissemination, reproduction, communication to the public, recording (including taking screenshots, making video recordings or the like) editing or other copyright-related actions shall require SIT’s prior consent in text form.

7. Miscellaneous

7.1 Should individual provisions of these Terms and Conditions of Participation be or become invalid, void or unenforceable, this shall not affect the validity of the other provisions hereof. The parties agree to replace any invalid, void or unenforceable provision with a valid and enforceable provision that most closely reflects the economic intent of the original provision. The foregoing shall also apply mutatis mutandis to any omissions contained in these Terms and Conditions of Participation. 7.2 These Terms and Conditions of Participation and all legal relationships between the parties arising hereunder shall be governed by German law to the exclusion of its conflict of law provisions and the UN Convention on Contracts for the International Sale of Goods (CISG). 7.3 The exclusive place of jurisdiction for any and all disputes arising out of or in connection with these Terms and Conditions of Participation shall be Stuttgart, Germany.
